Terms of Service

These Terms govern your use of Umika, a personal AI agent available through our website, dashboard and messaging bots (the “Service”), operated by Umika (“we”, “us”). By using the Service you agree to these Terms and to our Privacy Policy.

1. Beta and eligibility

The Service is in beta and available by invitation. Features may change, break or be removed. You must be at least 18 years old and able to form a binding contract to use it.

2. Your account

You sign in with your phone number. You are responsible for activity on your account and for keeping access to your phone and messaging accounts secure. Tell us promptly at support@example.com if you suspect unauthorized use.

3. What the agent does

• Umika uses AI models to understand your messages and help you: answer questions, remember things you share, set reminders, and — if you connect them — work with your email and calendar.
• The agent asks for your explicit confirmation before acting on your behalf in ways that affect others, such as sending an email or creating a calendar event. You are responsible for actions you confirm.
• AI can make mistakes. Check important information, and do not rely on the Service for medical, legal, financial or emergency decisions.
• Reminders and tasks are best-effort; do not use them where a missed reminder could cause harm.

4. Connected accounts

When you connect a third-party account such as Google, you authorize us to access it within the permissions you grant, only to provide the features you request. You can disconnect at any time in Workspace → Connectors. Your use of those services remains subject to their own terms.

5. Acceptable use

You agree not to use the Service to:

• break the law or infringe anyone’s rights;
• send spam, harass people, or impersonate others;
• access accounts or data you are not authorized to use;
• attempt to disrupt, reverse-engineer or bypass the security or limits of the Service;
• generate content that is illegal, abusive, or exploits minors.

6. Your content

You keep ownership of the messages and data you provide. You grant us a limited license to process them solely to operate and provide the Service to you, as described in the Privacy Policy.

7. Invites

Invite links are personal and limited in number. We may revoke invites or limit access to protect the Service.

8. Fees

The beta is currently free. If we introduce paid plans, we will tell you in advance and you can choose whether to subscribe.

9. Suspension and termination

You can stop using the Service and delete your account at any time in Preferences. We may suspend or terminate access if you violate these Terms or if needed to protect users or the Service.

10. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, to the extent permitted by law. We do not guarantee that the Service will be uninterrupted, error-free, or that AI output will be accurate.

11. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost data or profits. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or CAD $100.

12. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada and the federal laws of Canada applicable there, without regard to conflict-of-law rules.

13. Changes

We may update these Terms. If changes are significant, we will notify you through the Service before they take effect. Continuing to use the Service after that means you accept the updated Terms.
